1. Who we are, and what you are agreeing to

AkariClip is an AI video clipping and lyric video service operated by DigiBugg Labs ("AkariClip", "we", "us"), Los Angeles, California. By creating an account or using akariclip.ai or akariclip.com (the "Services"), you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 16 years old to use the Services, and at least 18 (or the age of majority where you live) to hold a paid plan. If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity, and "you" includes that entity. Keep your credentials to yourself; you are responsible for activity under your account.

3. Private beta

The Services are currently in a private, invite-gated beta. Features, limits, and pricing may change as the product evolves. We may add, modify, or remove functionality, and we may suspend or wind down beta features, with or without notice. Where a change materially reduces something you have paid for, we will make it right (for example with a pro rata credit or refund).

4. Your content, and the rights you attest to

You keep ownership of everything you upload or link (source videos, songs, images, text) and everything the Services produce from it for you (clips, lyric videos, captions). We claim no ownership of your content.

AkariClip follows an attestation model, the same model used by template-based editors: you bring the content, and you attest that you own or have secured the rights needed to process and publish it. We do not pre-screen uploads and we do not block features based on content source. You are solely responsible for having the rights to the media you process, including music.

So that we can run the Services, you grant us a limited, worldwide, non-exclusive license to host, store, transcode, transcribe, analyze, and process your content, and to display it back to you and the workspace members you invite. This license exists only to operate, secure, and improve the Services, and it ends when your content is deleted, except for copies kept briefly in routine backups.

5. Acceptable use

• No content you lack the rights to process or publish.
• No unlawful, infringing, defamatory, or abusive content, and no content sexualizing minors, in any form. We remove such content and terminate accounts involved.
• No attempts to probe, overload, or defeat the Services' security, metering, or access controls, and no scraping or reselling of the Services without a written agreement.
• No use of the Services to create deceptive media of a real person without a disclosed synthetic-media label where the law requires one.

6. AI-generated output

Parts of the Services use machine learning: moment selection, transcription, captions, lyric syncing, and optional AI-generated visuals. Output can contain mistakes. Captions can mishear, and generated visuals can be inaccurate or unexpected. Review everything before you publish it; you are responsible for what you post. AI-generated visuals must not be used to imitate identifiable real people without their consent.

7. Notice and takedown

We respond to valid copyright takedown notices. If you believe content processed through the Services infringes your rights, email legal@akariclip.ai with (1) the material and where it appears, (2) your claim of rights and contact details, and (3) a good-faith statement, under penalty of perjury, that the use is unauthorized. We may remove content, and we terminate repeat infringers. Counter-notices go to the same address.

8. Plans, billing, minutes, and credits

Paid plans are billed through Stripe on a recurring basis (monthly or annual) and renew automatically until cancelled. You can cancel any time from Settings; cancellation takes effect at the end of the current billing period, and we do not refund partial periods except where the law requires it or section 3 applies.

Plans meter usage in processed minutes (source runtime we ingest and process each month, with a 7-minute minimum per source or song) and AI credits (which power optional AI-generated visuals). Allowances reset each billing period and unused allowances do not roll over. Re-renders of an existing clip are free and unmetered. The free tier applies a watermark; paid tiers remove it. Current allowances and prices are listed on the pricing page and may change with notice; changes apply from your next billing period.

9. Our property

The Services themselves (the software, models, design system, brand, and everything that is not your content) are ours or our licensors' and are protected by law. We grant you a personal, revocable, non-transferable right to use the Services under these terms. Do not copy, reverse engineer, or build a competing dataset from the Services.

10. Suspension and termination

You can stop using the Services and delete your account at any time. We may suspend or terminate accounts that violate these terms, create risk for us or other users, or go unpaid, with notice where practicable. After termination we may delete your content following a reasonable wind-down window; export your clips first.

11. Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. This is beta software; we do not promise uninterrupted or error-free operation.

12. Limitation of liability

To the maximum extent the law allows, AkariClip and DigiBugg Labs will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim relating to the Services is limited to the greater of one hundred US dollars or the amount you paid us in the twelve months before the claim.

13. Indemnity

You will defend and indemnify AkariClip and DigiBugg Labs against claims arising from your content, your breach of the rights attestation in section 4, or your violation of these terms or of the law.

14. Governing law and disputes

These terms are governed by the laws of the State of California, excluding its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction. Either party may seek injunctive relief for misuse of intellectual property.

15. Changes to these terms

We may update these terms as the Services evolve. If a change is material, we will announce it (for example by email or an in-product notice) before it takes effect. Continuing to use the Services after a change takes effect means you accept it.
